Credit application Guarantee
I make and enter into this CONTINUING PERSONAL GUARANTEE in favor of Kwong Quest, LLC., a California corporation (“Kwong Quest”), with regard to the bills of:

I am an equity owner and the owner and/or officer of Customer.  As an inducement to Kwong Quest to sell goods and extend credit to Customer, I hereby agree as follows:

 
1.   Guarantee.  In order for Kwong Quest to extend credit to Customer, I personally guarantee to Kwong Quest payment of said   extension of credit, all invoices and the due performance and satisfaction of all of the obligations both present and future of Customer to Kwong Quest (the “Obligations”).  My Obligations are absolute, unconditional, irrevocable and continuing.  The Guarantee herein is a guarantee of payment and performance, not merely a guarantee of collection.

2.   Obligations.  I agree that Kwong Quest, without notice or demand, and without affecting or impairing my liability hereunder, may from time to time renew, compromise, extend additional credit or otherwise change the terms of the Obligations or any part thereof.  Nothing shall discharge or satisfy my liability hereunder except the full, prompt and unconditional performance and payment of all of the obligations.  This Guarantee may not be canceled.

3.   Other Guarantees.  I represent to Kwong Quest that I have not provided personal guarantees to any other party or that such personal guarantees have been canceled and satisfied in full.

4.      Waivers.  I waive any right to require Kwong Quest or any other persons to proceed against Customer or any other party for payment of the Obligations.

5.     Successors and Assigns.  This Guarantee and my liability and obligations hereunder are binding upon me and my successors and assigns, and no assignment by me shall be binding unless agreed upon in writing by Kwong Quest.

6.   Entire Agreement.  This Guarantee may not be amended except by a written instrument signed by me and Kwong Quest.  I represent and warrant that the Guarantee is a valid and binding obligation, enforceable in accordance with its terms.  This Guarantee embodies the entire agreement and understanding between me and Kwong Quest with respect to the subject matter set forth herein, and supersedes all prior agreement and understandings relating thereto.

7.   Governing Law/Attorneys’ Fees.  This Guaranty shall be governed by and construed in accordance with the laws of the State of California and both parties agree that any such action shall be filed and tried in Los Angeles County.  I agree that the prevailing party in any action to collect under this Guarantee shall be entitled to recover reasonable attorney’s fees, costs and expenses incurred in such action.

 
I agree to the terms above and state that all information in my credit application is true.  Kwong Quest may verify my credit, and if any information is false, Kwong Quest can exercise any of its rights in this guarantee.
